A merger occurs when two companies mutually decide to combine operations and move forward as one company with each former stockholder holding stock in the combined company. An acquisition takes place when a company purchases another company with cash, stock, or a combination of both. The buying company may prefer to acquire all the assets of the acquired company rather than its stock, in order to reduce potential liabilities, as well as, for tax considerations. The after-tax affects of each option should be considered by a stockholder when selling your business.
